Terms of Service

Welcome to Adsio.io (“the Platform,” “we,” “us,” “our”). These Terms of Service (the “Terms”) govern your access to and use of the Platform, including any associated software, services, applications, tools, and features (collectively referred to as the “Service”). By accessing, registering, or using the Service in any manner, you, the user (“you,” “your”), agree to comply with and be bound by these Terms. If you do not accept these Terms, you must immediately discontinue any use of the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any applicable laws and regulations. Adsio.io reserves the right, at its sole discretion, to update or modify these Terms at any time, and you agree that such modifications will take effect upon posting. 2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction;
  • Have the legal authority and capacity to enter into binding agreements;
  • Agree to comply with these Terms and all applicable laws, rules, and regulations;
  • Not be barred from using the Service under applicable laws.

If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind the organization to these Terms.

3.1 Account Creation: To access certain features of the Service, you must create an account. During registration, you agree to provide accurate, current, and complete information about yourself, as prompted by our registration form.

3.2 Account Responsibilities: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Adsio.io of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this obligation.

3.3 Account Deactivation: You may deactivate your account at any time by following the instructions on the Platform or contacting our support team. We reserve the right to suspend or terminate your account for any violation of these Terms, including but not limited to fraudulent activity, misuse of the Service, or violation of any applicable laws.

4. Description of Service

Adsio.io provides a centralized platform for businesses to create, manage, and track their social media advertising campaigns across multiple platforms, including but not limited to Facebook, Instagram, TikTok, and Google Ads (collectively referred to as “Third-Party Platforms”). The Service includes tools for campaign optimization, analytics, budget management, and performance tracking.

We reserve the right to modify or discontinue any feature or functionality of the Service at any time, with or without notice. You acknowledge and agree that Adsio.io will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service or any part thereof.

5. User Obligations and Acceptable Use

By using the Service, you agree that you will:

  • Use the Service only for lawful purposes and in accordance with these Terms;
  • Comply with all local, state, national, and international laws, including laws regarding the transmission of technical data and the export of software;
  • Not use the Service to distribute or promote any illegal or fraudulent content, products, or services;
  • Not use the Service to engage in any activity that could disrupt, damage, or impair the performance or functionality of the Service, including using bots, scrapers, or other automated means to access or manipulate the Service;
  • Not attempt to access unauthorized areas of the Platform or circumvent any security measures.

6. Fees and Payment

6.1 Subscription Plans: Certain features of the Service may require a paid subscription. You agree to pay all applicable fees in connection with your selected subscription plan. We reserve the right to modify subscription fees or introduce new fees at any time, but such changes will only take effect at the end of your current billing cycle.

6.2 Billing and Payment: All payments for subscription services are due in advance, and you agree to provide a valid payment method when subscribing. You authorize Adsio.io to charge your payment method for all applicable fees, including subscription fees, taxes, and other charges. If your payment method is declined, we may suspend or terminate your access to the Service.

6.3 Refunds: Except as required by law, all payments are non-refundable. We reserve the right, in our sole discretion, to provide refunds or credits in certain circumstances, but this does not obligate us to do so in the future.

7. Termination and Suspension of Service

7.1 Termination by You: You may terminate your use of the Service at any time by deactivating your account. Your cancellation will be effective at the end of your current billing cycle. No refunds will be provided for any unused portion of your subscription period.

7.2 Termination by Adsio.io: We may suspend or terminate your account or access to the Service, without notice, for any reason, including but not limited to violation of these Terms, fraudulent or illegal activity, or any action that may cause harm to Adsio.io or its users. We reserve the right to take legal action if necessary.

8. Intellectual Property Rights

All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets related to the Service and the content provided on the Platform, are owned or licensed by Adsio.io. No part of the Service, including any logos, text, images, or software, may be reproduced, modified, distributed, or otherwise exploited without our express prior written consent.

You retain ownership of all content you submit or post through the Service. However, by submitting content, you grant Adsio.io a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and distribute your content in connection with the Service.

9. Third-Party Services

The Service may integrate with or allow access to third-party platforms and services. You acknowledge and agree that Adsio.io is not responsible for the availability, functionality, or legality of such third-party services. You agree to comply with all applicable terms and policies of the third-party platforms, including advertising guidelines and data use policies.

Adsio.io disclaims any liability arising from your use of third-party services and platforms, including but not limited to any errors or omissions caused by such services.

10. Privacy and Data Use

Your use of the Service is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

11. Disclaimer of Warranties and Liability

11.1 No Guarantee of Performance: Adsio.io provides tools and features to assist you in managing and optimizing your social media advertising campaigns. However, we do not guarantee the success, effectiveness, or performance of any ads or campaigns you run through the Service. The results of advertising campaigns depend on a variety of factors beyond our control, including but not limited to the quality of the ad content, targeting parameters, platform algorithms, and user engagement. You acknowledge that your use of the Service does not ensure any specific business or financial outcomes, including conversions, views, or sales.

11.2 Third-Party Platform Limitations: The Service integrates with various third-party platforms (e.g., Facebook, Instagram, Google Ads, TikTok), which are governed by their own terms of service and performance standards. Adsio.io is not responsible for any changes, restrictions, or actions taken by these third-party platforms, including but not limited to account suspensions, policy changes, or fluctuations in ad performance caused by external factors. You agree to comply with all third-party platform terms and policies when using the Service.

11.3 Service Availability: While we strive to provide reliable access to the Service, Adsio.io does not guarantee that the Service will be available without interruptions, delays, or errors. The Service may be subject to scheduled maintenance or unexpected downtime. You acknowledge and accept that any downtime may affect the performance of your campaigns, and we are not liable for any loss, damage, or missed opportunity resulting from service unavailability.

11.4 Disclaimer of Warranties: The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Adsio.io does not make any representations or warranties regarding the accuracy, reliability, or completeness of the Service or any content or data provided through the Service.

11.5 Limitation of Liability: To the fullest extent permitted by law, Adsio.io and its affiliates, employees, officers, directors, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, business interruption, loss of data, or other intangible losses, resulting from:

  • The use or inability to use the Service;
  • The performance or non-performance of ads or campaigns run through the Service;
  • Errors, mistakes, or inaccuracies in any data or content provided by the Service;
  • Any unauthorized access to or use of our servers or personal information.

In no event shall Adsio.io’s total liability for any claims related to the Service exceed the total fees paid by you to Adsio.io in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Adsio.io, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, violation of these Terms, or infringement of any intellectual property or other rights of a third party.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising from or related to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you hereby consent to the personal jurisdiction of such courts.

14. Changes to the Terms

We may update these Terms at any time, and the revised version will be effective immediately upon posting. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.
